Terms of Service for Wiseman Virtual Assistants LLC

Wiseman Virtual Assistants LLC provides virtual administrative and executive assistant services as outlined on our website. Our services are designed to support small business owners by handling administrative tasks efficiently and precisely.

2. Client Responsibilities

As a client of Wiseman Virtual Assistants LLC, you agree to:

Provide timely and accurate information, instructions, and materials necessary for us to perform the services.

Ensure that any content or materials you provide do not infringe on the intellectual property rights of others.

Maintain the confidentiality of any access credentials or sensitive information we provide to you.

Adhere to the payment terms outlined in your service agreement/contract.

3. Service Agreements and Payments

All services provided are subject to a separate Service Agreement or Contract which will detail the specific scope of work, hourly packages, contract duration (e.g., 3-month term), billing cycle (e.g., monthly), and payment terms. These Terms of Service are incorporated by reference into all such Service Agreements.

Billing: Services are billed monthly, as per your agreed-upon package.

Payment Terms: Payment is due 7 days from invoice date. Late payments may incur a 5% late fee. Please note that work for your account will not begin until all outstanding payments are up to date.

Refunds and Cancellations: All payments are non-refundable after services have commenced. Cancellations for ongoing services require 30 days written notice as per your service agreement.

4. Intellectual Property

All content on our website, including text, graphics, logos, and service marks, is the property of Wiseman Virtual Assistants LLC or its content suppliers and is protected by intellectual property laws. You may not use our content without our express written permission.

Unless otherwise agreed upon in a separate Service Agreement, any work product created by Wiseman Virtual Assistants LLC for you in the course of providing services will be considered "work for hire" and full ownership will transfer to you upon final payment, or "licensed for your use while Wiseman Virtual Assistants LLC retains original IP.

5. Confidentiality

We commit to maintaining the utmost confidentiality regarding all client information and data shared with us, as further detailed in our Privacy Policy and your individual Service Agreement. We utilize Google password manager and will use LastPass for secure login management and [mention specific secure document exchange method, Google Drive and will use Dropbox for exchanging sensitive documents. Our internal policies and SOPs are strictly designed to protect your data.

6. Limitation of Liability

Wiseman Virtual Assistants LLC will perform its services with reasonable care and skill. However, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, our services; any unauthorized access, use, or alteration of your transmissions or data; or any other matter relating to our services, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage. Our total liability to you for any claim arising out of or relating to these Terms or our services will not exceed the amount paid by you to Wiseman Virtual Assistants LLC for the services in the three (3) months preceding the event giving rise to the claim.

7. Indemnification

You agree to defend, indemnify, and hold harmless Wiseman Virtual Assistants LLC and its employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the website or services; b) a breach of these Terms; or c) any activity related to your account by you or any other person accessing the website or services using your account.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Indiana, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our website or services after those revisions become effective, you agree to be bound by the revised terms.
